EMPLOYMENT AGREEMENT​

This Employment Agreement ("Agreement") is entered into as of [DATE] ("Effective Date")

Each a "Party" and collectively the "Parties"


1. POSITION AND DUTIES​

1.1 Position​

The Company hereby employs the Employee in the position of [JOB TITLE], reporting to [MANAGER TITLE/NAME].

1.2 Duties​

The Employee shall:

  • (a) Perform duties as described in Schedule A (Job Description)
  • (b) Follow reasonable instructions from management
  • (c) Devote full working time and attention to Company business
  • (d) Act in the best interests of the Company

1.3 Location​

The Employee's primary work location shall be:

  • Company office: KΓ‘lmΓ‘n Imre utca 1, 1054 Budapest
  • Remote work arrangement
  • Hybrid arrangement: [X] days office, [X] days remote

1.4 Other Activities​

The Employee shall not, without prior written consent:

  • (a) Engage in other employment or business activities
  • (b) Serve as a director or officer of another company
  • (c) Engage in activities that conflict with Company interests

2. TERM AND PROBATION​

2.1 Start Date​

Employment shall commence on [START DATE].

2.2 Employment Type​

  • Indefinite term employment
  • Fixed-term employment until [END DATE]

2.3 Probationary Period​

The first [3/6] months shall be a probationary period during which:

  • (a) Either Party may terminate with [15] days' notice
  • (b) Performance will be evaluated
  • (c) Successful completion leads to confirmed employment

3. COMPENSATION​

3.1 Base Salary​

The Employee shall receive a gross annual salary of €[AMOUNT], payable in equal monthly installments on the last business day of each month.

3.2 Performance Bonus​

The Employee may be eligible for an annual performance bonus of up to [X]% of base salary, subject to:

  • (a) Achievement of individual objectives
  • (b) Company performance
  • (c) Discretion of management

3.3 Salary Review​

Salary will be reviewed annually, typically in [MONTH]. Any increase is at the Company's discretion.

3.4 Deductions​

The Company shall deduct from salary:

  • (a) Income tax
  • (b) Social security contributions
  • (c) Other legally required deductions

4. EQUITY COMPENSATION​

4.1 Stock Options​

Subject to Board approval, the Employee shall be granted stock options as follows:

4.2 Vesting Schedule​

  • Cliff: 25% vests after 12 months of continuous employment
  • Monthly Vesting: Remaining 75% vests monthly over 36 months

4.3 Option Agreement​

Stock options are subject to the Company's Stock Option Plan and a separate Option Agreement.


5. BENEFITS​

5.1 Health Insurance​

The Company provides:

  • Private health insurance for Employee

5.2 Pension​

The Company contributes [X]% of base salary to a private pension scheme.

5.3 Other Benefits​

  • (a) Life insurance: [X] times annual salary

5.4 Equipment​

The Company shall provide:

  • (b) Mobile phone (if required for role)
  • (c) Other equipment necessary for duties

6. WORKING HOURS AND LEAVE​

6.1 Working Hours​

  • Standard working hours: [40] hours per week
  • Core hours: [10:00 - 16:00] (flexible arrangement)
  • Overtime requires prior approval

6.2 Annual Leave​

The Employee is entitled to [25] working days of paid annual leave per year, plus Hungarian public holidays.

6.3 Sick Leave​

Sick leave is provided in accordance with Hungarian law. The Employee must:

  • (a) Notify the Company as soon as possible
  • (b) Provide medical certificate for absences exceeding [3] days

6.4 Other Leave​

  • Parental leave: As per Hungarian law
  • Bereavement leave: [5] days for immediate family
  • Personal leave: [3] days per year

7. CONFIDENTIALITY​

7.1 Confidential Information​

"Confidential Information" includes:

  • (a) Business plans and strategies
  • (b) Financial information
  • (c) Customer and supplier information
  • (d) Technical information and source code
  • (e) Employee information
  • (f) Any information marked confidential

7.2 Obligations​

The Employee shall:

  • (a) Keep Confidential Information strictly confidential
  • (b) Use Confidential Information only for Company business
  • (c) Not disclose to any third party without authorization
  • (d) Return all Confidential Information upon termination

7.3 Duration​

Confidentiality obligations continue indefinitely after termination.

7.4 Exceptions​

Obligations do not apply to information that:

  • (a) Is publicly available through no fault of Employee
  • (b) Is required to be disclosed by law

8. INTELLECTUAL PROPERTY​

8.1 Work Product​

All work product created by the Employee in the course of employment belongs to the Company, including:

  • (a) Inventions and discoveries
  • (b) Software and code
  • (c) Designs and creative works
  • (d) Documentation and materials

8.2 Assignment​

The Employee hereby assigns to the Company all rights in work product created during employment.

8.3 Moral Rights​

To the extent permitted by law, the Employee waives moral rights in work product.

8.4 Prior Inventions​

The Employee has disclosed in Schedule B any prior inventions that should be excluded from this Agreement.

8.5 Cooperation​

The Employee shall cooperate with the Company to protect intellectual property rights, including signing documents and providing testimony.


9. NON-COMPETITION​

9.1 During Employment​

During employment, the Employee shall not:

  • (a) Work for a competitor
  • (b) Start a competing business
  • (c) Solicit Company customers or employees

9.2 Post-Employment Non-Compete​

For [12] months after termination, the Employee shall not:

  • (a) Work for a Competitor in a similar role
  • (b) Start a business competing with the Company

"Competitor" means any business that provides:

  • AI-powered attendance management solutions
  • Learning management platforms
  • Custom software development services

9.3 Geographic Scope​

Non-compete applies in: [Hungary / European Union / Worldwide]

9.4 Compensation​

During the non-compete period, the Company shall pay [50]% of the Employee's final base salary as compensation.

9.5 Waiver​

The Company may waive the non-compete obligation in writing.


10. NON-SOLICITATION​

10.1 Customers​

For [12] months after termination, the Employee shall not solicit or do business with any customer or prospect with whom the Employee had contact during the last [24] months of employment.

10.2 Employees​

For [12] months after termination, the Employee shall not recruit, solicit, or hire any Company employee.


11. TERMINATION​

11.1 Notice Period​

After the probationary period, either Party may terminate with:

  • Less than 1 year service: [30] days' notice
  • 1-3 years service: [45] days' notice
  • More than 3 years service: [60] days' notice

11.2 Termination by Company for Cause​

The Company may terminate immediately for:

  • (a) Gross misconduct
  • (b) Material breach of this Agreement
  • (c) Fraud or dishonesty
  • (d) Conviction of a criminal offense
  • (e) Continued poor performance after warning

11.3 Termination by Employee​

The Employee may terminate:

  • (a) With notice as specified above
  • (b) Immediately if Company materially breaches

11.4 Garden Leave​

During the notice period, the Company may:

  • (a) Require the Employee to remain away from work
  • (b) Continue to pay salary and benefits
  • (c) Restrict contact with customers and colleagues

11.5 Return of Property​

Upon termination, the Employee shall immediately return:

  • (a) All Company property and equipment
  • (b) All documents and materials
  • (c) All Confidential Information
  • (d) Access credentials and keys

11.6 Exit Interview​

The Employee agrees to participate in an exit interview.


12. DATA PROTECTION​

12.1 Employee Data​

The Company will process the Employee's personal data in accordance with:

  • (a) GDPR and applicable data protection laws
  • (b) The Company's Privacy Policy
  • (c) Legitimate business purposes

12.2 Data Categories​

The Company may process:

  • (a) Contact and identification information
  • (b) Employment and payroll information
  • (c) Performance and evaluation data
  • (d) IT usage data

12.3 Employee Rights​

The Employee has the right to:

  • (a) Access personal data
  • (b) Correct inaccurate data
  • (c) Request deletion (subject to legal requirements)
  • (d) Object to certain processing

13. GENERAL PROVISIONS​

13.1 Governing Law​

This Agreement is governed by Hungarian law.

13.2 Dispute Resolution​

Disputes shall be resolved by:

  • (a) Good faith discussion
  • (b) Mediation
  • (c) Hungarian labor courts

13.3 Entire Agreement​

This Agreement constitutes the entire agreement regarding employment.

13.4 Amendments​

Amendments must be in writing signed by both Parties.

13.5 Severability​

Invalid provisions shall be modified to be enforceable.

13.6 Waiver​

Failure to enforce a provision does not waive the right to enforce it later.

13.7 Notices​

Notices shall be in writing to addresses specified herein.
